Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of Kliq Card’s websites, applications, and related services (the “Service”). By creating an account, starting a trial, accepting an invitation, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service for an organization, you represent that you are authorized to accept these Terms for that organization. “You” then includes both you and the organization where the context requires.

2. The Service

Kliq Card provides digital business cards and sharing links; contact and relationship tools; event hubs; teams and workspaces; Kliq Card and organization-configured single sign-on (SSO); Google and Microsoft calendar connections; reminders and meeting recap emails; memberships, member cards and portals; kiosks and check-ins; electronic document signatures; reporting and analytics; subscriptions; and optional AI-assisted features. Features vary by plan, role, deployment, configuration, and third-party availability.

We may improve, change, suspend, or discontinue features. We do not guarantee that every integration or feature will always be available, uninterrupted, or suitable for a particular legal, compliance, accessibility, recordkeeping, or business purpose.

3. Accounts and Organizations

• You must provide accurate information, keep credentials and shared access links secure, and promptly notify us of suspected unauthorized access.
• You are responsible for activity under your account and for ensuring that invited users, staff, and administrators receive appropriate roles and permissions.
• Organization owners and administrators may manage members, staff, workspaces, hubs, memberships, check-ins, documents, and related records. Your organization may impose additional policies and may control information within its account.
• If you use SSO, Kliq Card may rely on verified identity claims from Kliq Card’s sign-in provider or your organization’s configured identity provider to link or create an account and sign you in. Your organization is responsible for its identity-provider configuration, domain, signing keys, access policies, and user lifecycle, and you must follow the provider’s and organization’s rules.
• You may not share an account in a way that defeats access controls, impersonate another person, or attempt to access another account or organization without permission.
• You must be legally able to enter this agreement. The Service is not directed to children under 16; organizations are responsible for legally required consent when they enter information about minors or dependents.

4. Your Content and Permissions

“Your Content” means information and materials you or your organization submit to the Service, including card content, images, contacts, notes, event details, membership records, documents, signatures, check-in information, and prompts. As between you and Kliq Card, you retain your rights in Your Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, format, transmit, display, and otherwise process Your Content only as needed to provide, secure, support, and improve the Service and comply with law. This permission ends when the content is deleted from active systems, subject to reasonable backup, legal, security, and recordkeeping retention.

You represent that you have the rights and lawful basis needed to submit and use Your Content, including personal information about contacts, attendees, members, guests, dependents, staff, and signers. You are responsible for notices and consents required for your use.

5. Public and Shared Content

Digital cards, vanity URLs, QR codes, member cards, member portals, kiosks, and certain event or check-in experiences are intended for sharing and may be accessible without an account. Anyone with a public or tokenized link may be able to view, save, or share the information it exposes. You are responsible for choosing what to publish, distributing links appropriately, and disabling or replacing links when supported and necessary.

Content shared within a workspace, event hub, or membership organization may be visible to owners, administrators, staff, collaborators, or other authorized participants. Kliq Card is not responsible for another user’s or organization’s independent use of information they lawfully receive through the Service.

6. Memberships, Check-Ins, and Electronic Signatures

Organizations are responsible for configuring membership terms, tiers, benefits, eligibility, status, check-in rules, locations, visitor purposes, documents, and staff permissions, and for keeping those records accurate. Kliq Card does not determine whether a person is entitled to enter a location, receive a benefit, or hold a membership.

When you sign electronically, you intend the captured name, email, signature image, timestamp, and document version to record your action. You and the organization presenting the document are responsible for deciding whether electronic signing is appropriate and legally valid for that document and jurisdiction, for providing required disclosures or copies, and for retaining any additional records. Kliq Card is not a notary, identity-verification service, legal adviser, or witness, and does not guarantee that a signature or check-in proves identity, consent, attendance, or legal enforceability.

7. AI-Assisted Features

Optional AI features may generate summaries, strategies, reports, suggestions, enriched fields, or chat responses from content submitted to them. AI output may be incomplete, incorrect, outdated, biased, or unsuitable. Review output before relying on or sharing it. Do not use AI output as legal, medical, financial, employment, safety, or other professional advice, or as the sole basis for decisions with significant effects on a person.

You are responsible for having permission to send content to an AI feature and for avoiding unnecessary confidential or sensitive information. AI availability depends on configuration and third-party services.

8. Third-Party Services

The Service may depend on or connect to services such as Stripe, Resend, Anthropic, Google, Microsoft, Apple Wallet, Kliq Card’s sign-in provider, organization-configured identity providers, and cloud infrastructure providers. Your use of a third-party service may be governed by its own terms and privacy policy. You authorize us to exchange information with a provider when needed for a connection you enable or a feature you use.

For SSO, a provider may return a signed token containing identity claims such as email and name. Kliq Card verifies configured claims and may use verified email to link an existing account or provision one when you first sign in. We do not control third-party services and are not responsible for their availability, security, changes, content, or acts. Disconnecting an integration may stop future synchronization but may not delete information already imported into Kliq Card or retained by the provider.

9. Subscriptions, Trials, and Billing

• Paid features require the applicable subscription or add-on. Prices, billing period, included features, and any trial terms are shown when you subscribe.
• Stripe processes payments. You authorize the charges presented at checkout and must keep billing information current.
• Unless checkout states otherwise, subscriptions renew automatically for the same billing period until canceled. Cancel before renewal to avoid the next charge. Cancellation normally takes effect at the end of the paid period.
• A trial may convert to a paid subscription if checkout disclosed that conversion and you do not cancel before the trial ends. Trial eligibility and duration may vary.
• Fees are non-refundable except where required by law or expressly stated at purchase. Taxes may apply. We may change future prices or plan features with reasonable notice where required.
• Organization owners are responsible for authorized purchases and for managing seats, plans, add-ons, and billing access.

10. Acceptable Use

You may not use the Service to:

• Break the law, violate another person’s rights, or process personal information without a lawful basis.
• Send spam, deceptive messages, harassment, threats, malware, or unlawful or harmful content.
• Impersonate others, falsify memberships, signatures or check-ins, or misrepresent affiliation, identity, consent, or attendance.
• Scrape, harvest, sell, or disclose data without permission, or use public and tokenized links to bypass intended access restrictions.
• Probe, disrupt, overload, reverse engineer, or circumvent security, rate limits, subscriptions, permissions, or technical restrictions, except to the extent such restriction is prohibited by law or an applicable software license expressly permits the activity.
• Use automated means that burden the Service or use the Service to develop or train systems in violation of others’ rights.

11. Ownership and Software License

Your Content remains yours as described above. Kliq Card and its licensors retain their rights in the Service, branding, designs, documentation, and other materials we provide. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the hosted Service for its intended purposes during your account or subscription term.

Some software components may be offered under separate source-code or third-party licenses. Those licenses govern those components and these Terms do not reduce rights granted by them. “Kliq Card” and associated branding may not be used without permission except as allowed by law.

12. Privacy

Our Privacy Policy explains how Kliq Card handles personal information. You and your organization remain responsible for your own privacy notices, permissions, retention decisions, and responses to requests concerning information you control.

13. Suspension and Termination

You may stop using the Service and may cancel an available subscription or delete an account through the provided controls. We may limit, suspend, or terminate access if you violate these Terms, create risk or harm, fail to pay, use the Service unlawfully, or if necessary to protect users, third parties, or the Service. Where practical, we will provide notice and an opportunity to address the issue.

After termination, access to Your Content may end and content may be deleted according to the Privacy Policy and our operational and legal obligations. Provisions that by their nature should survive—including ownership, payment obligations, disclaimers, limitations, and responsibility for prior activity—will survive.

14. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, INTEGRATIONS, AI OUTPUT, ANALYTICS, RECAPS, SIGNATURES, CHECK-INS, OR MEMBERSHIP RECORDS WILL BE ACCURATE, COMPLETE, SECURE, UNINTERRUPTED, OR ERROR-FREE.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KLIQ CARD AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE SERVICE. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF DAMAGE.

Applicable law may not allow some limitations, so they apply only to the extent permitted. These Terms do not limit liability that cannot lawfully be limited.

16. Changes to These Terms

We may update these Terms to reflect changes to the Service, providers, or legal requirements. We will post the revised Terms here and update the date above. We may provide additional notice of material changes where appropriate. If you continue using the Service after updated Terms take effect, you accept them; if you do not agree, you must stop using the Service.

17. General

These Terms and the policies they reference are the agreement between you and us about the Service. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a reorganization or transfer of the Service. We do not select a governing jurisdiction or arbitration forum in these Terms.
